General Counsel Program


For Start-Ups and Small Businesses, we offer a unique service and pricing structure known as our External General Counsel program. For a monthly flat rate, or a project based flat rate, we handle all corporate and commercial legal matters for our Start-Up and Small Business clients. Our experienced attorneys, many of them former in-house counsel, are committed to helping our clients in all aspects of their business needs and problem solving while pursuing their Entrepreneurial Chinese Dream without the overhead associated with employing full-time in-house counsel. China Commercial Law Firm offers your company legal services as if we were your own in-house attorney – we take the time to learn about your business and its operations, so that whenever you seek legal and/or business advice, we can counsel you and provide solutions in the context of that knowledge. While serving as External General Counsel, we handle transactional matters such as business formation issues, contracts, licensing, non-disclosure agreements, corporate finance, and labor and employment issues. Although we offer Litigation Management services, Litigation is typically not included in the flat fee arrangement but may be separately negotiated.

External Legal Counsel


Due to our perceived need for law firms to provide services to businesses such as that which could be provided by an "in-house" attorney, China Commercial Law Firm has created a program which would give our small to mid-size business clients convenient access to a wealth of information and experience gained as a result of years of practice. Once signed up for this program our clients will have China Commercial Law Firm, as their general counsel and can rely on our services on their demand.


The General Counsel program allows our business clients to have an experienced team of attorneys address all of their legal concerns, from the most basic need and choice regarding the proper legal structure of business (such as a corporation or partnership), to the numerous issues that impact the operation of your business. (such as drafting agreements, labor law and compliance issues.) This unique program becomes exceptionally attractive to our clients when they are involved in litigation. Due to our close working relations with our clients, we are able to resolve litigation matters at a reasonable cost.

Business/Corporate in China


The firm's business attorneys provide a wide range of services to a broad array of privately held and publicly traded businesses. The next important skill you should expect is the ability to translate legal alternatives into levels of risk so that you can balance the business imperatives in a transaction or other matter with the alternatives available. Everything is a tradeoff; the lawyer won't make those tradeoffs for you except when they're standard (such as choosing DE for the incorporation of company seeking traditional venture financing) but instead needs to set up the issues in such a way that you can understand, weigh, and choose among the tradeoffs.
